IMPORTANT:

These Terms govern every Clinical Psychology service arranged, booked, paid for, facilitated or administered through Cognitive Analytica SARL ("CA"), whether the session is conducted online, by video or other remote means, or physically/in person at a CA-approved location. By booking, paying for, attending or continuing to use the Services, the Patient accepts these Terms.

These Terms & Conditions (the "Terms") constitute a binding agreement between Cognitive Analytica SARL, a Lebanese limited liability company ("CA", "we", "us" or "our"), and the individual receiving or seeking Clinical Psychology services through CA (the "Patient", "you" or "your").

These Terms apply to all Clinical Psychology services arranged through CA and delivered by Clinical Psychologists affiliated, contracted or otherwise engaged by CA (each a "Clinical Psychologist"), together with related booking, payment, administrative, communication, technology, coordination and support services (collectively, the "Services").

By agreeing to these Terms, you may proceed to book, pay for, attend or otherwise use the Services. Where a separate consent, privacy notice, fee schedule, package condition, patient guideline or policy is expressly incorporated by reference, it forms part of these Terms.

1. Acceptance and Electronic Agreement

The Patient accepts these Terms by any act demonstrating assent, including creating or using an account, submitting a booking request, paying for a session or package, clicking an acceptance checkbox or button, attending or joining a session, or continuing to use the Services after these Terms have been made accepted.

Electronic acceptance shall be relied upon as evidence of agreement. CA may retain records of the version accepted, the date and time of acceptance, booking and payment records, account identifiers and related audit information.

If the Patient is legally incapable of entering into a binding agreement, is a minor, or otherwise requires the consent, authorization or assistance of a parent, guardian or other legal representative, such consent, authorization or assistance must be obtained before the Services are provided. The Patient, or the person accepting these Terms on the Patient’s behalf, is solely responsible for informing CA of any such legal incapacity or requirement.

CA shall not be liable where a Patient who is legally incapable of contracting, is a minor, or otherwise requires the intervention of a legal representative accepts these Terms or receives Services without disclosing such status to CA. Upon becoming aware of such circumstances, CA may require the identification, participation and/or written authorization of the Patient’s parent, guardian or other duly authorized legal representative as a condition for the continuation of the Services.

For the avoidance of doubt, no refund, reimbursement or credit shall be due in respect of any session already provided before CA became aware of the Patient’s legal incapacity or of the requirement for the involvement or consent of a legal representative.

2. Scope of Services

CA facilitates access to Clinical Psychology and related administrative services. Sessions may be provided remotely or physically, depending on availability, suitability, patient preference, clinical considerations and operational arrangements.

2.1 Online Sessions

Online sessions may be conducted through video conferencing, voice communication or another electronic method designated or approved by CA. The Patient acknowledges that remote Clinical Psychology may not be suitable for every clinical situation and that a Clinical Psychologist may recommend an alternative format or referral where appropriate.

2.2 In-Person Sessions

The Patient may request that one or more sessions be conducted physically/in person.

Acceptance of such request is subject to availability of the relevant Clinical Psychologist, availability of an approved venue, scheduling, safety, clinical suitability and any applicable additional charge communicated before confirmation.

Unless CA expressly agrees otherwise in writing, these Terms apply in full to every in-person session in the same manner as to an online session. Any venue-specific rules, building access requirements, health and safety procedures, or supplementary instructions communicated by CA or the venue shall also apply.

A request for an in-person session does not create a right to receive Services at any particular location or from any particular Clinical Psychologist. CA may change the venue, propose an online alternative, or reschedule where reasonably necessary.

2.3 CA’s Administrative Role and Clinical Independence

CA may coordinate access, allocate or facilitate access to Clinical Psychologists, manage appointments and payment, provide premises or technology, conduct administrative follow-up and quality review, and communicate patient-facing policies. The Clinical Psychologist remains professionally and clinically responsible for the therapeutic assessment, clinical judgment, therapeutic method, recommendations and conduct of the Clinical Psychology session.

Nothing in these Terms constitutes a guarantee by CA that any Clinical Psychologist will reach a particular diagnosis, use a particular therapeutic technique, or achieve any specific result.

3. Nature and Limits of Clinical Psychology

The Patient understands that Clinical Psychology is a professional process that may involve discussing sensitive, distressing or emotionally difficult matters. Responses and outcomes differ from one person to another. Progress may be gradual, non-linear or absent, and symptoms or distress may sometimes temporarily intensify during therapeutic work.

CA and the Clinical Psychologist do not guarantee cure, improvement, symptom reduction, reconciliation, employment, academic, family, relationship, legal or other outcomes. The Services do not replace medical treatment where medical evaluation or treatment is required.

Unless the Clinical Psychologist is separately qualified and legally authorized to do so, Clinical Psychology does not include prescribing medication, issuing medical prescriptions, changing medication or providing medical treatment.

The Patient should consult an appropriately qualified medical professional regarding medication or medical concerns.

4. Patient Representations, Information and Cooperation

The Patient represents that all information provided to CA or a Clinical Psychologist is accurate, complete and not misleading to the best of the Patient’s knowledge.

The Patient shall promptly communicate material changes relevant to safe and appropriate care, including inter alia:

  • Relevant medical, psychiatric and psychological history, including prior treatment where reasonably requested.
  • Medication, substance use, allergies or medical conditions where relevant to the therapeutic process or safety.
  • Current or recent risk of self-harm, suicide, harm to others, violence, abuse or other significant safety concerns.
  • Emergency contact information where requested by CA or the Clinical Psychologist.
  • For online sessions, the Patient’s actual physical location at the time of the session when reasonably required for emergency or regulatory reasons.
  • The Patient shall participate in good faith, maintain respectful conduct, comply with reasonable safety and administrative procedures, and refrain from conduct that materially prevents the Clinical Psychologist from providing the Services safely and professionally.

5. Booking & Session Duration

Bookings are subject to confirmation and availability. A booking is not guaranteed merely because a preferred time or Clinical Psychologist has been requested. CA may confirm, decline, reassign or propose alternatives for operational, professional, safety or availability reasons.

The standard duration of a session shall be the duration communicated at booking. Unless CA or the Clinical Psychologist agrees otherwise, a late arrival by the Patient does not extend the scheduled end time and does not reduce the applicable fee.

CA may reschedule a session if the Clinical Psychologist is unavailable, a venue is unavailable, technology fails, an emergency arises, or CA reasonably determines that rescheduling is appropriate. Where CA cancels and cannot provide a reasonable alternative, CA may credit or refund the affected prepaid session, as appropriate.

6. Fees, Packages and Payment

The Patient shall pay the fees displayed or communicated by CA at the time of booking, purchase or package enrollment. Unless CA expressly states otherwise, all payments are due to CA and not directly to the Clinical Psychologist.

CA may offer single-session pricing, packages, plans, promotional pricing or other commercial arrangements. Specific written conditions attached to a package or plan form part of these Terms. Unless otherwise stated, prepaid sessions are personal to the Patient and may not be transferred, resold or shared.

Fees are generally non-refundable once a session has been properly provided or once a cancellation/no-show charge has validly arisen under these Terms. Any mandatory consumer rights that cannot lawfully be excluded remain unaffected.

CA may modify its fees prospectively. Changes shall not affect a session already paid for unless the Patient expressly agrees or the modification is required by law.

The Patient is responsible for applicable bank, payment-provider, foreign exchange or other third-party transaction charges not expressly included in CA’s quoted fee.

7. Cancellation & Rescheduling Policy

The Patient must give at least /24/ (twenty-four) hours’ prior notice to cancel or reschedule a session, using a communication or booking channel designated by CA. A cancellation or rescheduling request is effective only when received by CA or successfully recorded through the applicable booking system.

Where less than /24/ (twenty-four) hours’ notice is provided, or the Patient fails to attend or join the session, CA may charge the session in full and deduct it from any package or prepaid balance. CA may, at its discretion, waive or reduce the charge in a genuine emergency or exceptional circumstance.

Repeated late cancellations, no-shows or unreasonable booking behavior may result in prepayment requirements, booking restrictions, suspension or termination of Services.

For physical sessions, the Patient is responsible for allowing adequate travel and access time. Traffic, parking or ordinary travel delays do not automatically entitle the Patient to an extension, refund or fee reduction.

8. Online Session Requirements

For online sessions, the Patient is responsible for using a device, connection and environment reasonably suitable for confidential communication. The Patient should use a private space, headphones where appropriate, and a secure device and network where reasonably possible.

The Patient acknowledges that electronic communications involve risks including loss of connectivity, audio/video failure, interruption, unauthorized access, malware, device compromise, platform outage or accidental disclosure. CA will take reasonable measures within its control but does not guarantee absolute security or uninterrupted availability of third-party technology.

If an online session is interrupted, the parties should reasonably attempt to reconnect or use an alternative CA-approved method. CA or the Clinical Psychologist may determine whether the session should continue, be rescheduled or be converted to an in-person session.

The Patient shall not participate in an online session while driving, operating machinery, or from a location that materially compromises safety, privacy or effective participation.

9. Physical Session Requirements

For physical sessions, the Patient shall comply with reasonable access, identification, visitor, building, safety and conduct requirements applicable at the session location. The Patient shall not bring another person into a session without prior agreement of the Clinical Psychologist, except where required for a minor, support need or other approved reason.

CA may refuse entry, discontinue or reschedule a physical session where the Patient’s conduct presents a safety concern, where the Patient appears severely intoxicated or otherwise unable to participate safely, or where circumstances at the venue make continuation inappropriate.

Personal belongings remain the Patient’s responsibility. To the maximum extent permitted by law, CA is not responsible for loss of or damage to personal belongings left at a session venue unless caused by CA’s legally non-excludable fault.

10. Confidentiality

CA and the Clinical Psychologist shall treat Patient information as confidential subject to applicable law, professional ethical obligations, patient safety requirements, these Terms and any applicable Privacy Notice.

The Patient authorizes CA and the relevant Clinical Psychologist to exchange information reasonably necessary for booking, administration, billing, care coordination, continuity, safety, complaint handling, quality assurance and legal compliance. CA may keep administrative records and may, where applicable, maintain or host clinical or care-related records in accordance with its policies and applicable law.

Confidentiality is subject to lawful and professional exceptions. Information may be disclosed where required or permitted by applicable law, where necessary to respond to a serious or imminent risk of harm, where reporting obligations apply, where required by a competent judicial or public authority, or where disclosure is otherwise professionally justified and legally permissible.

The Patient understands that confidentiality obligations applicable to a Clinical Psychologist do not prevent CA from receiving limited information reasonably required to administer, investigate or safeguard the Services, provided such information is handled in accordance with applicable confidentiality and privacy requirements.

11. Communications and Contact Details

The Patient consents to being contacted using the telephone number, email address, messaging account or other contact details provided to CA for booking confirmations, reminders, scheduling, billing, account administration, service updates, safety-related follow-up and care coordination.

The Patient shall keep contact information up to date and is responsible for securing access to personal devices and accounts. The Patient should not use routine administrative messaging channels for emergencies or expect immediate clinical responses outside scheduled sessions.

Unless otherwise agreed, messages sent to a Clinical Psychologist outside sessions are not a substitute for Clinical Psychology and may not receive an immediate response.

12. Emergency Policy

CA’S ROUTINE SERVICES, WEBSITE, BOOKING SYSTEM AND COMMUNICATION CHANNELS ARE NOT EMERGENCY OR CRISIS-RESPONSE SERVICES.

If the Patient is in immediate danger, is at risk of harming self or others, is experiencing a medical or psychiatric emergency, or otherwise requires urgent intervention, the Patient must contact the appropriate emergency services, emergency department, crisis provider or other urgent-care resource available in the Patient’s location.

Where CA or the Clinical Psychologist reasonably believes that there is a serious and imminent safety concern, protective action may be taken as reasonably and legally appropriate, including contacting an emergency contact, emergency services, another healthcare professional or a competent authority.

For online sessions, the Clinical Psychologist or CA may request confirmation of the Patient’s physical location at the beginning of or during a session where reasonably necessary for safety or emergency response.

13. Clinical Psychologist Assignment

CA may facilitate selection of a Clinical Psychologist or assign one based on availability, suitability and other relevant considerations. The Patient may request a different Clinical Psychologist; however, no particular professional is guaranteed. CA may replace, suspend, restrict or cease working with a Clinical Psychologist for internal reasons.

If a Clinical Psychologist becomes unavailable or ceases to work with CA, CA may determine, taking into account continuity and patient welfare, whether existing sessions should temporarily continue, be transferred, be rescheduled or be referred to another professional. The Patient acknowledges that continuation with the same Clinical Psychologist cannot always be guaranteed.

14. Use of Session Content

The Patient shall not audio-record, video-record, photograph, screen-record, livestream, reproduce, publish, post, transmit or distribute a session or any part of it without the prior express written consent of both CA and the relevant Clinical Psychologist, except where a non-waivable legal right applies.

The Patient shall not publish private communications, screenshots, recordings, clinical notes, images or identifying information concerning a Clinical Psychologist, CA employee or another person in a manner that violates privacy, confidentiality, intellectual property, professional rights or applicable law.

15. Intellectual Property

Educational resources, questionnaires, worksheets, forms, training materials, digital content, website content, methodologies, branding and proprietary tools made available by CA or a Clinical Psychologist remain the property of CA, the Clinical Psychologist or the relevant rights holder.

Unless otherwise stated, the Patient receives a limited, personal, non-exclusive, non-transferable right to use materials provided for the Patient’s own therapeutic purposes. The Patient may not commercially exploit, reproduce, sell, license, publish or distribute such materials without prior authorization.

16. Patient Conduct

The Patient shall not engage in threatening, abusive, harassing, discriminatory, sexually inappropriate, fraudulent, violent or otherwise seriously inappropriate conduct toward a Clinical Psychologist, CA personnel or another person involved in the Services.

The Patient must not misuse booking or payment systems, impersonate another person, seek unauthorized access to records or systems, interfere with CA’s technology, use the Services for unlawful purposes, or attempt to obtain Services through fraud or chargeback abuse.

CA may immediately suspend or terminate Services where serious misconduct, safety risks or unlawful activity is reasonably suspected.

17. Quality Review

The Patient is encouraged to report concerns, incidents or complaints promptly through the contact channel designated by CA. The Patient shall provide reasonable information required for CA to understand and review the matter.

CA may request information from the Clinical Psychologist, review relevant administrative or communication records, seek clarification from the Patient, implement quality or corrective measures, reassign the Patient, suspend a Clinical Psychologist, refer a matter to an appropriate professional or authority where required, or otherwise act as reasonably appropriate.

The existence of a complaint does not entitle the Patient to a refund. Any refund, credit or remedial action will be determined in accordance with the circumstances, applicable law and CA’s policies.

18. Third-Party Services

CA may rely on third-party providers for video conferencing, messaging, payment processing, hosting, scheduling, authentication or other technical functions. Use of those services may be subject to the third party’s own terms and privacy practices.

CA is not responsible for outages, interruptions, delays, security incidents or other failures exclusively attributable to a third-party provider outside CA’s reasonable control. CA may substitute a third-party provider where reasonably necessary.

19. No Guarantee

Clinical Psychology Services are not a substitute for emergency care, inpatient treatment, medical diagnosis, medication management or other specialist services where those services are clinically required.

The Patient remains responsible for seeking appropriate medical, psychiatric, emergency or other professional care when needed.

Nothing communicated through the Services constitutes legal, financial or other non-clinical professional advice unless expressly provided by a separately qualified professional acting in that capacity.

20. Limitation of CA Liability

To the maximum extent permitted by applicable law, CA shall not be liable for the independent professional acts or omissions, clinical judgment, therapeutic recommendations, diagnosis, treatment decisions, statements or professional misconduct of a Clinical Psychologist.

CA does not warrant that the Services will meet every Patient’s expectations, be continuously available, or produce any particular clinical, personal or other result.

CA shall not be liable for indirect, incidental, special, consequential, punitive or loss-of-opportunity damages arising from or related to the Services, including loss resulting from third-party technology failures, provided that nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

Where liability may lawfully be limited but not excluded, CA’s aggregate liability arising from a specific paid session or directly related series of sessions shall, to the extent legally enforceable, not exceed the fees actually paid to CA for the affected session(s), except in cases where a higher liability is mandatorily imposed by law.

21. Indemnity for Misuse

The Patient is responsible for losses or claims arising from the Patient’s unlawful misuse of CA systems, unauthorized recording or publication, infringement of third-party rights, fraudulent payment activity, intentional misconduct or material breach of these Terms.

To the extent permitted by law, the Patient shall indemnify CA against third-party claims, losses and reasonable costs resulting directly from such unlawful or intentional conduct, except to the extent caused by CA’s own legally established fault.

22. Termination

The Patient may discontinue using the Services at any time, subject to payment of accrued fees, applicable cancellation or no-show charges, and any specific package conditions accepted at purchase.

CA may suspend, restrict or terminate access upon reasonable notice where appropriate. CA may act immediately where reasonably necessary because of safety concerns, non-payment, abusive or threatening conduct, repeated non-compliance, misuse of the Services or platform, suspected fraud, legal or ethical concerns, or circumstances in which continuation is no longer reasonably appropriate.

Where clinically appropriate and reasonably practicable, CA may facilitate transition, referral or transfer to another Clinical Psychologist or provider. CA does not guarantee acceptance by another provider or uninterrupted continuity of care.

23. Refunds and Chargebacks

Refunds are governed by these Terms, any specific package conditions, and mandatory applicable law. The Patient shall first contact CA regarding a disputed charge and provide a reasonable opportunity to investigate before initiating a payment dispute or chargeback, except where the Patient has a non-waivable right to proceed otherwise.

A chargeback or payment reversal that is fraudulent, abusive or inconsistent with Services actually received may result in suspension of future Services and recovery of amounts lawfully due.

24. Changes to Terms

CA may update, modify, suspend or discontinue features, technology, locations, booking procedures, pricing structures or other operational aspects of the Services where reasonably necessary.

CA may amend these Terms prospectively. The version in effect at the time of booking generally governs that booking, unless a change is required by law or is expressly accepted by the Patient. Material changes affecting ongoing Services may be communicated through the website, account, email or another reasonable electronic method.

25. Governing Law and Jurisdiction

These Terms and all Services provided through CA shall be governed by the laws of the Republic of Lebanon, without prejudice to any mandatory rule of law that applies irrespective of contractual choice.

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved amicably shall fall within the exclusive jurisdiction of the competent courts of Metn, Lebanon, without prejudice to any mandatory jurisdiction rule that cannot lawfully be excluded.

26. General Contractual Provisions

26.1 Entire Agreement

These Terms, together with any expressly incorporated Privacy Notice, fee schedule, package conditions, consent form, patient guideline or other written policy communicated by CA, constitute the agreement governing the Patient’s use of the Services.

26.2 Severability

If any provision is held invalid, unlawful or unenforceable, it shall be applied or modified to the minimum extent necessary to make it enforceable where legally permissible, and the remaining provisions shall remain effective.

26.3 No Waiver

Failure or delay by CA in enforcing a provision does not constitute a waiver of that provision or any other right.

26.4 Assignment

The Patient may not assign or transfer rights or obligations under these Terms without CA’s prior written consent. CA may assign or transfer these Terms as part of a corporate reorganization, transfer of business or similar transaction, subject to applicable law and continuity of Patient rights.

26.5 Interpretation

Headings are for convenience only. References to the singular include the plural where appropriate. The terms "including" and "include" are illustrative and do not limit the general words preceding them.

27. Patient Acknowledgments and Consent

By accepting these Terms, the Patient expressly acknowledges and agrees that:

  • the Patient has had a reasonable opportunity to read these Terms before booking or receiving the Services;
  • Clinical Psychology does not guarantee a particular result or outcome;
  • the Services may be provided online or physically/in person and these Terms apply to both forms of delivery;
  • the Patient may request a in-person session, but availability, location and acceptance remain subject to CA’s confirmation;
  • online Clinical Psychology involves technology and privacy risks that cannot be eliminated entirely;
  • CA’s routine channels are not emergency or crisis-response services;
  • the Clinical Psychologist remains responsible for independent professional and clinical judgment;
  • the Patient consents to the reasonable processing and exchange of information required to administer and provide the Services, subject to applicable law and the Privacy Notice; and
  • the Patient agrees to pay applicable fees and comply with the cancellation, conduct and safety requirements contained in these Terms.

27. Contact and Notices

Patient support, booking inquiries, complaints and notices relating to these Terms may be submitted using the contact details published by CA on its website or through the Patient’s designated communication channel.
